Exempt Company
The most common choice of offshore vehicle, a company may apply to be registered as exempted if its objectives are to be carried out mainly outside the Islands.
Ordinary Resident Company
The most appropriate vehicle for carrying on business in the Cayman Islands. Unless it is licensed under certain other laws, the company must be at least sixty percent (60%) Caymanian owned and controlled or licensed under the Local Companies (Control) Law.
Ordinary Non-Resident Company
An ordinary non-resident company becomes appropriate where a company would not qualify to be registered as exempted but will not be carrying on business in the Islands.
Foreign Company
The company is incorporated outside the Cayman Islands and establishes a place of business or commence carrying on business within the Islands. This includes the sale by, or on behalf of, the company, its shares or debentures.
Partnership Formations
dms provides partnership formation services to meet each client’s specific needs. With a sophisticated Cayman Islands Registrar of Partnerships on Island, we are able to expedite the formation of partnerships in as little as one day. There are two types of structures that can be formed in the Cayman Islands:
Limited Partnership
This may be established in the Cayman Islands for any lawful purpose or purposes, to be carried on either within the Islands or elsewhere by two or more persons upon the terms, with the rights and powers, and subject to the conditions, limitations, restrictions and liabilities pursuant to the Partnership Law.
Exempted Limited Partnership
A limited partnership may become an exempted limited partnership, or one can be formed de novo, by filing a statement with the Registrar of Limited Partnerships. Unlike the Limited Partnership declaration, this does not need to include the names of the limited partners or the amounts of their contributions.
Other Structures
dms offers assistance with other structure services to meet each client’s specific needs, some of which are as follows:
Segregated Portfolio Company (SPCs)
A company that may establish one or more separate portfolios and segregate the assets and liabilities attributable to each portfolio from the assets and liabilities attributable to every other portfolio, and from the general assets and liabilities of the company.
Exempted Unit Trusts
A trust arrangement whereby legal ownership of the fund’s assets is vested in a trustee, who holds the fund’s assets on trust for the benefit of the unit holders.
Star Trust
The formation of non-charitable purpose trusts where the share trustee in a transaction is able to hold the shares in the SPV on trust for the purpose of the transaction itself.
Special Purpose Vehicle (SPV)
A SPV is normally an exempted company, but can also be a trust or partnership. The SPV is usually a subsidiary company with an asset/liability structure and legal status that makes its obligations secure even if the parent company goes bankrupt.
Company Secretary
dms offers company secretary services and acts as an officer of the company. Our role is above and beyond that of the registered office. We ensure that all formalities on the company books and within the holding of meetings are adhered to, helping the company run successfully.
